Governing access to the Citgentic website and the general use of Citgentic communications and services.

These Terms and Conditions ("Terms") govern access to the Citgentic website and the general use of communications and services provided by Citgentic.
Citgentic clients may also execute a separate proposal, order form, electronically signed service agreement, or other written agreement governing their specific services. Where a separately executed client agreement conflicts with these general Terms regarding the commercial services purchased by that client, the executed client agreement will control to the extent of the conflict.
Citgentic provides technology-enabled business communication and automation services. Depending on the services purchased and configured by a client, these services may include AI-powered telephone answering, inbound call handling, call routing, appointment scheduling, lead capture, call transcription, call summarization, email notifications, SMS account notifications, software integrations, CRM integrations, scheduling integrations, and other related services.
Specific features, pricing, service levels, and obligations may be governed by the applicable client agreement.
Clients are responsible for providing accurate and current information necessary to configure their Citgentic services. Clients are responsible for reviewing and approving business rules, call-handling instructions, escalation procedures, appointment rules, emergency instructions, service information, and other configurations supplied to Citgentic. Clients are responsible for ensuring that their use of Citgentic complies with laws and regulations applicable to their business and industry.
Certain Citgentic services use artificial intelligence and automated systems. AI-generated conversations, summaries, transcripts, classifications, or other outputs may occasionally contain errors, omissions, misunderstandings, or unexpected results. Clients should independently verify information where accuracy is especially important and should provide Citgentic with appropriate escalation instructions for high-priority or sensitive situations.
Where recording, transcription, or automated processing of telephone communications is enabled, clients are responsible for ensuring appropriate notices and consent mechanisms are used where required by applicable law. Citgentic may process call-related information only as reasonably necessary to provide the configured service and otherwise in accordance with our Privacy Policy and applicable agreements.
Citgentic may depend upon or integrate with third-party technology providers, including telecommunications carriers, artificial intelligence providers, messaging providers, email providers, electronic-signature services, scheduling applications, CRM platforms, cloud providers, payment processors, and other software vendors. Availability or performance of third-party services may affect Citgentic services.
Citgentic offers eligible clients the option to receive operational SMS notifications concerning their Citgentic service.
Citgentic SMS Call Summary and Account Notification Program.
Clients who affirmatively opt in may receive SMS messages containing operational information associated with their Citgentic account or AI answering service. Messages may include AI call summaries, caller names, caller telephone numbers, reasons for calling, appointment information, lead notifications, service-request information, call outcomes, follow-up reminders, urgent-call notifications, or other service-related account notifications.
The Citgentic SMS Call Summary and Account Notification Program is intended for transactional and operational account notifications and is not an SMS marketing or promotional program.
Message frequency varies. The frequency of messages may depend on the volume of calls or other activity associated with the client's Citgentic service. For example, where a client chooses to receive one call-summary notification following each handled call, message volume may correspond to the client's call volume.
Standard message and data rates may apply. Any charges imposed by the recipient's wireless carrier or mobile-service provider are the responsibility of the recipient.
Participation in the Citgentic SMS program is optional. Consent to receive SMS messages is not a condition of purchasing or using Citgentic services. Citgentic will send program messages only after the recipient has affirmatively opted in through an approved consent method. Providing a mobile telephone number by itself does not constitute consent where affirmative SMS consent is required.
A recipient may stop Citgentic SMS notifications at any time by replying STOP. Following processing of the opt-out request, the recipient will receive no further messages from the applicable Citgentic SMS program unless the recipient subsequently opts in again.

Wireless carriers are not liable for delayed or undelivered messages. Message delivery may be affected by network availability, mobile-carrier systems, recipient device availability, filtering, outages, or other circumstances outside Citgentic's control.
Citgentic's processing of personal information in connection with the SMS program is governed by the Citgentic Privacy Policy. Mobile telephone numbers, SMS opt-in information, and SMS consent information will not be sold or shared with third parties for their promotional or marketing purposes.
Clients are responsible for maintaining accurate contact information associated with their services, including email addresses and mobile numbers used for notifications. Clients should promptly notify Citgentic when an authorized notification recipient changes.
Pricing, billing schedules, recurring fees, usage charges, setup fees, payment obligations, and cancellation terms for paid Citgentic services are governed by the applicable executed client agreement, order form, proposal, or invoice.
Citgentic services may not be used for unlawful, deceptive, fraudulent, abusive, threatening, or harmful activities. Users may not use Citgentic services to send communications without legally required authorization or consent, circumvent carrier or telecommunications rules, impersonate another person unlawfully, gain unauthorized access to systems, or interfere with Citgentic infrastructure.
Citgentic and its licensors retain their rights in software, systems, branding, technology, documentation, workflows, and other intellectual property owned by them. Clients retain ownership of information and materials they provide, subject to rights reasonably necessary for Citgentic to process that information and provide the contracted services.
Citgentic endeavors to provide reliable services but does not guarantee uninterrupted availability. Services may be interrupted by maintenance, carrier issues, internet failures, software failures, third-party outages, force majeure events, or other circumstances outside Citgentic's reasonable control.
Citgentic does not guarantee that every automated response, transcription, call summary, appointment entry, classification, or other AI-generated output will be completely accurate or error-free.
Any specific limitation-of-liability provisions applicable to a paying client should be governed by the client's executed service agreement. To the extent permitted by applicable law and except as otherwise provided in a signed agreement, Citgentic will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the website or services.
Citgentic may suspend or terminate access where permitted by an applicable service agreement or where reasonably necessary to prevent unlawful, fraudulent, abusive, or harmful use. Commercial termination and cancellation rights for paying clients are governed primarily by their applicable signed agreement.
Citgentic may revise these Terms periodically. The current version will be published on this page with a revised "Last Updated" date.
These Terms will be governed by the laws of New York, without regard to conflict-of-laws principles. Any governing-law, venue, arbitration, or dispute-resolution provision contained in an applicable executed client agreement will control for that client where applicable.
